1. Agreement to These Terms

These Terms and Conditions (the “Terms”) govern your access to and use of the website located at https://www.kintexplumbing.com and any content, features, and functionality offered on or through it, including our virtual assistant chatbot (collectively, the “Site”). The Site is operated by Kintex Plumbing (“Kintex Plumbing,” “we,” “us,” or “our”).

By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, do not access or use the Site.

You represent that you are at least 18 years old and have the legal capacity to enter into these Terms. If you use the Site on behalf of a business or other entity, you represent that you are authorized to bind that entity to these Terms.

2. Changes to These Terms

We may revise these Terms at any time in our sole discretion. When we do, we will update the “Last updated” date above and post the revised Terms on the Site. Your continued use of the Site after any change becomes effective constitutes your acceptance of the revised Terms. You should review these Terms periodically.

3. Informational Purpose Only; No Professional Advice

The Site and the chatbot are provided for general informational purposes only. The content on the Site — including descriptions of services, service areas, business hours, and any guidance offered by the chatbot — does not constitute professional plumbing, engineering, legal, financial, or other professional advice, and is not a substitute for an on-site inspection or diagnosis by a qualified, licensed professional.

Plumbing conditions vary from property to property, and you should not rely on the Site to diagnose or resolve any plumbing issue. Do not rely on the Site or the chatbot in an emergency. In the event of a plumbing emergency, gas leak, fire, or threat to life or property, contact a licensed professional, your utility provider, or emergency services (911) directly. Any action you take based on information obtained from the Site is at your own risk.

4. No Service Contract; Quotes, Requests, and Pricing

Your use of the Site, and any request you submit through the chatbot or any form (including your name, contact information, and a description of a plumbing issue), is a request for information or for a follow-up contact only. It does not create a contract, does not obligate Kintex Plumbing to provide any services, and does not guarantee availability, scheduling, response times, or pricing.

Any plumbing services performed by Kintex Plumbing are governed exclusively by a separate written agreement, estimate, work order, or invoice provided to and accepted by you, and not by these Terms. In the event of any conflict between these Terms and such a separate written agreement regarding services, the separate written agreement controls with respect to those services.

Any prices, promotions, service areas, or availability described on the Site are estimates and general information only, are subject to change without notice, may contain errors or inaccuracies, and may be modified or withdrawn at any time. Final pricing is determined only in a written estimate following assessment of your specific needs.

5. Virtual Assistant (Chatbot)

The Site offers an automated virtual assistant that responds using predefined, scripted content and may collect the information you choose to provide so that we can follow up with you. The chatbot is provided on an “as is” and “as available” basis. You acknowledge and agree that:

• The chatbot may provide information that is incomplete, out of date, or inaccurate, and it is not monitored in real time;
• The chatbot is not to be used for emergencies (see Section 3);
• You should not submit sensitive personal information (such as financial account numbers, payment card details, or government identifiers) through the chatbot;
• Any information you submit through the chatbot is handled in accordance with our Privacy Policy; and
• We may modify, suspend, or discontinue the chatbot, in whole or in part, at any time without notice.

6. Third-Party Links and Financing

The Site may contain links to third-party websites and services, including an independent, third-party financial institution that may offer financing for plumbing projects. These links are provided for your convenience only. We do not control, endorse, or assume any responsibility for the content, products, services, or privacy or business practices of any third party.

Kintex Plumbing is not a lender, broker, or financial advisor. Any financing application or transaction is solely between you and the third-party financing provider and is governed by that provider’s own terms and privacy policy. We are not responsible or liable for any financing decision, approval, denial, rate, term, or any dispute arising between you and any third party. You access third-party sites at your own risk.

7. Intellectual Property Rights

The Site and all of its contents — including text, graphics, images, logos, page layouts, designs, and the “Kintex Plumbing” name, logos, and other trademarks and trade dress (collectively, the “Content”) — are owned by or licensed to Kintex Plumbing and are protected by United States and international copyright, trademark, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and view the Content solely for your personal, non-commercial use in connection with evaluating or engaging our services.

Except as expressly permitted above, you may not, and may not permit others to: copy, reproduce, republish, upload, post, transmit, distribute, modify, translate, create derivative works from, publicly display, or exploit any Content; frame, mirror, or in-line link any part of the Site; use any robot, spider, scraper, or other automated means to access, scrape, data-mine, or harvest the Site or any Content; use the Content to train any machine-learning or artificial-intelligence model; remove or alter any copyright, trademark, or other proprietary notice; or use any Kintex Plumbing name, trademark, or logo without our prior written consent. All rights not expressly granted are reserved.

8. Acceptable Use

You agree not to use the Site to, and not to assist or permit any person to:

• Violate any applicable law, regulation, or these Terms;
• Access, tamper with, or use non-public areas of the Site or our systems, or attempt to probe, scan, or test the vulnerability of any system or network, or breach any security or authentication measure;
• Introduce any virus, malware, or other harmful code, or interfere with or disrupt the integrity or performance of the Site (including through denial-of-service or similar attacks);
• Reverse engineer, decompile, or disassemble any portion of the Site;
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
• Use the chatbot or any form to transmit spam, solicitations, harassing or abusive content, or unlawful, defamatory, obscene, or infringing material;
• Collect or harvest information about other users; or
• Use the Site in any manner that could damage, disable, overburden, or impair it, or interfere with any other party’s use of the Site.

9. User Content and Submissions

If you post a comment, review, or other content, or submit information through the chatbot or any form (collectively, “Submissions”), you grant Kintex Plumbing a non-exclusive, royalty-free, worldwide, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, modify, display, and distribute such Submissions in connection with operating and promoting our business, to the extent permitted by law and subject to our Privacy Policy with respect to your personal information.

You represent and warrant that you own or have the necessary rights to your Submissions and that they do not infringe or violate the rights of any third party or any law. Except for personal information, which is governed by our Privacy Policy, we treat Submissions as non-confidential and non-proprietary. We are not obligated to monitor Submissions, but we may remove or refuse to post any Submission at our sole discretion. Please do not send us unsolicited ideas, suggestions, or proposals; any that you send are submitted on a non-confidential basis and may be used by us without obligation to you.

10. Disclaimer of Warranties

THE SITE, THE CONTENT, AND THE CHATBOT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, KINTEX PLUMBING DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, THAT THE SITE OR ITS SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY CONTENT (INCLUDING CHATBOT RESPONSES) IS ACCURATE, COMPLETE, RELIABLE, OR CURRENT. YOUR USE OF THE SITE IS AT YOUR OWN RISK.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL KINTEX PLUMBING OR ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE, THE CONTENT, OR THE CHATBOT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS YOU PAID TO US, IF ANY, TO ACCESS THE SITE, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

This Section 11 governs only your use of the Site, the Content, and the chatbot; it does not limit any liability arising from plumbing services actually performed by Kintex Plumbing, which is governed by the separate written agreement for those services. Nothing in these Terms excludes or limits any liability or right that cannot be excluded or limited under applicable law, including the Texas Deceptive Trade Practices–Consumer Protection Act, and nothing in these Terms waives any non-waivable statutory right you may have as a consumer. Some limitations may not apply to you to the extent prohibited by law.

12. Indemnification

You agree to defend, indemnify, and hold harmless Kintex Plumbing and its owners, officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to: (a) your use or misuse of the Site; (b) your violation of these Terms; (c) your violation of any law or the rights of any third party; or (d) your Submissions.

13. Governing Law and Venue

These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Subject to Section 14, you agree that the exclusive venue for any dispute not subject to arbitration will be the state or federal courts located in Harris County, Texas, and you consent to the personal jurisdiction of those courts.

14. Dispute Resolution; Binding Arbitration; Waiver of Class Actions and Jury Trial

Please read this Section carefully. It affects your legal rights, including your right to file a lawsuit in court and to have a jury trial.

(a) Informal resolution. Before initiating any formal proceeding, you agree to first contact us using the details in Section 19 and provide a written description of the dispute and the relief you seek. The parties will attempt in good faith to resolve the dispute for at least thirty (30) days after such notice.

(b) Binding arbitration. If the dispute is not resolved informally, any dispute, claim, or controversy arising out of or relating to these Terms or the Site will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect. The arbitration will take place in Harris County, Texas, or, at your election, by telephone or video or based on written submissions. Judgment on the award may be entered in any court having jurisdiction.

(c) Class action and jury trial waiver. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND KINTEX PLUMBING AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. YOU AND KINTEX PLUMBING WAIVE ANY RIGHT TO A JURY TRIAL.

(d) Exceptions. Either party may (i) bring an individual claim in a small-claims court of competent jurisdiction, and (ii) seek injunctive or other equitable relief in court to protect its intellectual property or to address unauthorized access to or misuse of the Site.

(e) Opt-out. You may opt out of this arbitration provision by sending written notice to us within thirty (30) days after you first accept these Terms, using the contact details in Section 19 and stating your name and intent to opt out. If you opt out, the venue provisions of Section 13 will apply.

15. Suspension and Termination

We may suspend, restrict, or terminate your access to the Site at any time, with or without notice, for any reason, including any violation of these Terms. Upon termination, the license granted to you in Section 7 ends. Sections that by their nature should survive termination — including Sections 7, 9, 10, 11, 12, 13, 14, and 18 — will survive.

16. Website Accessibility

We are committed to making the Site accessible and usable. If you experience difficulty accessing any part of the Site or need assistance, please contact us using the details in Section 19 and we will work in good faith to provide the information or service you need through an alternative method.

17. Electronic Communications

By using the Site, you consent to receiving communications from us electronically and agree that agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

18. General

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kintex Plumbing regarding your use of the Site and supersede any prior agreements on that subject. If any provision of these Terms is held invalid or unenforceable, that provision will be modified to the minimum extent necessary or severed, and the remaining provisions will remain in full effect. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our prior written consent; we may assign them freely. These Terms do not create any third-party beneficiary rights. Section headings are for convenience only and do not affect interpretation.
